GAIN Capital Announces Its Securities Subsidiary Acquisition by TradeKing Inc.

A few months ago FXCM, the world's largest forex broker, made an offer to acquire GAIN Capital's Forex.com. GAIN Capital refused, considering the offer a hostile takeover, and proceeded to complete an acquisition itself by buying out GFT

 
Frankly, we were not surprised by that. It was not the first (and possibly the last) occasion, on which Forex.com was taking over the operations of another broker – so we were kind of used to seeing the company as an “acquirer”. 
 
It seems, however, that the possibility of the opposite process was present as well. We have just received the news that the broker's Securities business has been sold to TradeKing Group Inc., a U.S. online trading services provider. 
 
GAIN Securities Inc. is – or rather, was – a subsidiary of GAIN Capital, and specializes in stock and options trading, as well as mutual funds. The deal has been concluded quietly, and the only information disclosed to the general public is that this is an all-cash acquisition. The deal has already been filed with the Financial Industry Regulatory Authority (FINRA) in the USA, and is expected to be finalized in 30 to 60 days. 
 
Up until now, GAIN Capital has served as the forex provider of TradeKing, therefore the two companies are familiar with each other. “We sought to transition the GAIN Securities clients to a firm that shared our commitment to personalized service, innovation and building client trust,” commented GAIN's CEO Glenn Stevens. He then shared his firm belief that TradeKing is ideal for that kind of commitment, and that the clients will be in good hands with it. What's more, the two companies have the same clearing partner, which will make the transition even easier. 
 
Don Montanaro, CEO of TradeKing Group, made the following statement: “We see an opportunity in today’s environment to bring greater stability to the independent investor market through this type of consolidation, while offering clients a modern and standout online and self-directed brokerage experience. The benefits of acquiring a brand like GAIN Securities are obvious – it stands for everything that GAIN Capital stands for: outstanding trading conditions, impeccable services and professional customer care, combined with bullet-proof regulation and significant customer base. With this said, we get TradeKing's motivation to acquire – but why would GAIN Capital agree to such a deal? Probably money – but we can't tell for sure as we don't have all the details.
